This Privacy Policy explains what personal data OFFLOADIT Incorporated collects, how we collect and use it, how we protect it, how we share it, and what rights you have over it. This Policy applies to the OFFLOADIT website (www.offloadit.com) and mobile applications (iOS and Android) (collectively, the "Platform"). By using the Platform, you agree to the practices described in this Policy.

1. Definitions

  • "Personal Data" ("PD") means any information relating to an identified or identifiable natural person, directly or indirectly, including name, identification number, location data, online identifiers, or factors specific to the physical, physiological, genetic, mental, economic, cultural, or social identity of that person.
  • "Sensitive Personal Data" means a subset of Personal Data that warrants heightened protection, including precise geolocation, racial or ethnic origin, religious beliefs, health information, biometric data, and financial account information.
  • "Non-Personal Data" ("NPD") means information that cannot reasonably be used to identify an individual, either alone or in combination with other information.
  • "Anonymized Data" means Personal Data that has been processed to remove or irreversibly alter identifying elements such that re-identification is not reasonably possible.
  • "Aggregated Data" means statistical data compiled from multiple individuals in a manner that does not identify any individual.
  • "Sale" (as defined by applicable state privacy laws) means the exchange of Personal Data for monetary or other valuable consideration. Note: OFFLOADIT does not sell Personal Data for monetary consideration.
  • "Sharing" (for cross-context behavioral advertising purposes, as defined by applicable state privacy laws) means disclosing Personal Data to third parties for targeted advertising.

2. Information We Collect

2.1 Information You Provide Directly

We collect the following categories of Personal Data when you register, use, or interact with the Platform:

  • Identity Data: Full name, username, business name, government-issued ID (for verification), contractor license information;
  • Contact Data: Email address, phone number, mailing address, billing address;
  • Account Data: Username, password (hashed), account preferences, notification settings;
  • Listing Data: Item descriptions, photos, condition disclosures, pricing, location of Items;
  • Transaction Data: Purchase history, sale history, payment method type (not full card numbers), shipping information;
  • Communications Data: Messages sent through the Platform, support tickets, reviews and ratings, survey responses;
  • Tax Data: Taxpayer Identification Number (TIN/EIN/SSN last four) collected for 1099-K reporting compliance;
  • Donation Data: Habitat for Humanity ReStore donation elections and amounts.

2.2 Information Collected Automatically

When you access the Platform, we automatically collect:

  • Device and Technical Data: IP address, device type, operating system, browser type and version, mobile device identifiers (IDFA, Android Advertising ID);
  • Usage Data: Pages and screens visited, search queries, listings viewed, time spent, clicks, features used, error logs;
  • Location Data: Approximate location inferred from IP address; precise geolocation (with your consent) when using location-based search features on mobile;
  • Cookie and Tracker Data: Data collected through cookies, pixel tags, web beacons, local storage, and similar technologies (see Section 5).

2.3 Information from Third Parties

We may receive Personal Data from:

  • Social Media Platforms: If you register or log in using Facebook, Google, Apple, or other social login providers, we receive basic profile information (name, email, profile photo) from those providers;
  • Payment Processors: Transaction status, fraud signals, and limited payment confirmation data from our payment processors (e.g., Stripe);
  • Identity Verification Services: Identity and license verification results from third-party verification providers;
  • Analytics Partners: Behavioral and demographic insights from analytics providers;
  • Publicly Available Sources: Publicly available business information, contractor license registries, and similar sources.

3. How We Use Your Information

3.1 Core Platform Operations

We use your Personal Data to operate and improve the Platform, including to:

  • Create and manage your account;
  • Enable Buyers and Sellers to connect and transact;
  • Process payments and payouts;
  • Facilitate the Habitat for Humanity ReStore Donation Program;
  • Provide customer support and dispute resolution;
  • Send transactional communications (receipts, shipping updates, account alerts);
  • Verify identity and credentials;
  • Comply with legal and regulatory obligations, including tax reporting (Form 1099-K).

3.2 Platform Improvement and Analytics

We use data to understand how the Platform is used and to improve it, including through A/B testing, feature development, fraud detection, and safety monitoring. We may use analytics tools including Google Analytics to collect and analyze usage data.

3.3 Marketing and Communications

With your consent or where otherwise permitted by law, we may use your data to:

  • Send promotional emails, newsletters, and offers from OFFLOADIT and select partners;
  • Deliver targeted advertising based on your Platform activity and inferred interests;
  • Conduct lookalike audience marketing on platforms such as Facebook and Google;
  • Send push notifications to your mobile device (with your permission).

You may opt out of marketing communications at any time (see Section 10).

3.4 Anonymized and Aggregated Data — Partnership Use

OFFLOADIT has the right to create, use, and share Anonymized Data and Aggregated Data derived from User activity on the Platform for legitimate business, research, analytics, and partnership purposes. Such Anonymized and Aggregated Data does not identify individual Users and is not subject to the restrictions on Personal Data in this Policy. OFFLOADIT may share Anonymized and Aggregated Data with business partners, data analytics firms, research institutions, investors, and other third parties. Examples of permissible use include: construction materials pricing trend reports, marketplace activity statistics, regional supply/demand data, and platform performance benchmarks. Users cannot opt out of the use of genuinely Anonymized or Aggregated Data because such data does not identify them.

3.5 Safety, Fraud Prevention, and Legal Compliance

We use Personal Data to: detect, investigate, and prevent fraud, abuse, and safety incidents; enforce our Terms and Conditions; comply with applicable laws and regulations; respond to legal process; and protect the rights, property, and safety of OFFLOADIT, our Users, and the public.

4. Legal Basis for Processing

Depending on your jurisdiction and the type of data, we process your Personal Data on the following legal bases:

  • Contract Performance: Processing necessary to fulfill the Terms and Conditions you agreed to when registering and using the Platform;
  • Legitimate Interests: Processing for OFFLOADIT's legitimate business interests (fraud prevention, platform improvement, analytics), balanced against your rights;
  • Legal Obligation: Processing required to comply with applicable laws (e.g., tax reporting, law enforcement requests);
  • Consent: Processing for marketing, targeted advertising, and certain data sharing, where you have given explicit consent. You may withdraw consent at any time without affecting the lawfulness of prior processing.

5. Cookies and Tracking Technologies

5.1 Types of Cookies We Use

We and our third-party partners use the following categories of cookies and tracking technologies:

  • Strictly Necessary: Required for Platform operation (authentication, security, session management). Cannot be disabled.
  • Performance and Analytics: Collect usage data to improve the Platform (e.g., Google Analytics). You may opt out.
  • Functional: Remember your preferences (language, saved searches, notification settings).
  • Advertising and Targeting: Enable targeted advertising based on browsing behavior. Placed by us and third-party ad networks. You may opt out.
  • Social Media: Enable social sharing and social login functionality. Governed by third-party social platform policies.
  • Persistent Cookies: Stored between sessions to remember preferences and enable personalization.
  • Session Cookies: Expire when you close your browser.

5.2 Managing Cookies

You may manage cookie preferences through: (a) your browser settings (note: disabling certain cookies may impair Platform functionality); (b) our cookie preference center (where available); (c) industry opt-out tools at www.aboutads.info/choices (U.S.) or www.youronlinechoices.eu (EU); or (d) Google Analytics opt-out at https://tools.google.com/dlpage/gaoptout. Mobile device advertising can be managed through your device's advertising settings ("Limit Ad Tracking" on iOS or "Opt out of Ads Personalization" on Android).

5.3 Web Beacons and Pixels

We use web beacons and pixel tags in emails and on Platform pages to track email open rates, link clicks, and Platform activity. These help us measure the effectiveness of communications and improve our services.

5.4 Do Not Track

Our Platform currently does not respond to browser-level "Do Not Track" signals because there is no industry-standard response. However, you may use opt-out tools described above. California residents may also review Section 11 for additional rights under California law.

6. How We Share Your Information

6.1 With Other Users

To facilitate Transactions, certain information in your Listing and profile (name or business name, general location, listing details, ratings) is visible to other Platform Users. Direct messages between Buyers and Sellers are accessible to both parties and may be reviewed by OFFLOADIT for safety and dispute resolution purposes.

6.2 Service Providers

We share Personal Data with trusted third-party service providers who assist us in operating the Platform, including: payment processors (e.g., Stripe); cloud hosting and infrastructure providers; identity verification services; email and push notification providers; customer support platforms; analytics and advertising platforms; legal, accounting, and audit firms; and fraud detection and security services. Service providers are contractually prohibited from using your Personal Data for purposes other than providing services to OFFLOADIT.

6.3 Advertising Partners — Lookalike and Targeted Audiences

We may share your Personal Data (such as hashed email addresses) with advertising platforms including Meta (Facebook/Instagram) and Google for purposes of: (a) serving targeted advertisements to you based on your Platform activity; and (b) creating lookalike/similar audiences to find new users with interests similar to yours. This sharing may constitute "sharing" for cross-context behavioral advertising purposes under applicable state privacy laws. You have the right to opt out of this use of your data (see Section 10).

6.4 Analytics Partners

We use Google Analytics and may use similar analytics platforms to collect and analyze usage data. These platforms may combine data collected on our Platform with data from other websites and services. You can opt out of Google Analytics data collection using the tools described in Section 5.2.

6.5 Business Partnerships — Anonymized Data

OFFLOADIT may enter into data partnerships with construction industry organizations, research firms, market intelligence companies, financial institutions, and other third parties in which we share Anonymized and/or Aggregated Data. These partnerships may include data licensing, market research collaboration, product integration, and investor reporting. All such partnerships use only genuinely anonymized or aggregated data and do not involve transfer of individually identifiable Personal Data without your consent. You have the right to opt out of any sharing of Personal Data that does not fall into the anonymized/aggregated category (see Section 10).

6.6 Business Transfers

If OFFLOADIT is involved in a merger, acquisition, sale of assets, reorganization, or bankruptcy proceeding, your Personal Data may be transferred to the successor entity. The successor will be bound by this Privacy Policy or will provide advance notice of any material changes.

6.7 Legal Disclosures

We may disclose your Personal Data if required by: (a) subpoena, court order, or other legal process; (b) requests from law enforcement or regulatory agencies; (c) enforcement of our Terms and Conditions; (d) protection of OFFLOADIT's legal rights; or (e) protection of the safety of our Users or the public.

6.8 No Sale of Personal Data

OFFLOADIT does not sell your Personal Data to third parties for monetary consideration. This applies to all Users, including California residents under the CCPA/CPRA, and residents of all other U.S. states with applicable privacy laws. OFFLOADIT may share Personal Data for targeted advertising purposes as described in Section 6.3, which may be considered "sharing" or "processing for targeted advertising" under applicable state laws, and you have the right to opt out as described in Section 10.

7. Data Retention

7.1 Retention Periods

We retain Personal Data for as long as necessary to fulfill the purposes for which it was collected and to comply with our legal obligations:

  • Account Data: Retained for the duration of your account and for up to 7 years after account closure (for tax, audit, and dispute resolution purposes);
  • Transaction Data: Retained for a minimum of 7 years to comply with IRS and state tax law requirements;
  • Communications Data: Retained for up to 3 years after account closure;
  • Usage and Analytics Data: Typically retained for 24 months, after which it is aggregated or deleted;
  • Marketing Data: Retained until you opt out, withdraw consent, or request deletion, subject to legal hold obligations;
  • Dispute and Legal Hold Data: Retained for the duration of any pending dispute, investigation, or litigation plus applicable statute of limitations.

7.2 Deletion

Upon expiration of applicable retention periods, Personal Data is securely deleted, anonymized, or destroyed in accordance with OFFLOADIT's data retention and disposal policies. Requests for earlier deletion are subject to applicable legal requirements (see Section 10).

8. Data Security

OFFLOADIT implements commercially reasonable technical, administrative, and physical safeguards to protect your Personal Data against unauthorized access, disclosure, alteration, and destruction. These measures include: encryption of data in transit (TLS) and at rest; access controls and authentication requirements; regular security assessments and penetration testing; employee training on data protection; and contractual security requirements for service providers.

Despite these measures, no method of transmission over the Internet or method of electronic storage is completely secure. In the event of a data breach, OFFLOADIT will notify affected Users and applicable regulatory authorities as required by law.

9. Children’s Privacy

The Platform is not designed for, directed to, or intended for use by individuals under the age of eighteen (18). We do not knowingly collect Personal Data from children under 18. If you are a parent or guardian and believe your child under 18 has provided us with Personal Data, please contact us immediately at info@offloadit.com. Upon verification, we will delete such information promptly. We do not verify the age of Users and disclaim liability for access by minors.

10. Your Privacy Rights and Opt-Out Options

10.1 Universal Opt-Out Rights (All Users)

Regardless of your location, you have the following rights:

  • Opt Out of Marketing Emails: Click the "Unsubscribe" link in any marketing email or contact us at info@offloadit.com;
  • Opt Out of Push Notifications: Adjust notification settings in the Platform or your device settings;
  • Opt Out of SMS/Text Messages: Reply STOP to any text message from OFFLOADIT;
  • Opt Out of Targeted Advertising: Use the opt-out mechanisms described in Section 5.2 or contact us;
  • Opt Out of Sharing for Cross-Context Behavioral Advertising: Contact us at info@offloadit.com with subject line "OPT OUT - BEHAVIORAL ADVERTISING";
  • Opt Out of Lookalike Audience Sharing: Contact us at info@offloadit.com with subject line "OPT OUT - LOOKALIKE AUDIENCES".

10.2 U.S. State-Specific Privacy Rights

If you are a resident of a state with applicable privacy legislation, you have additional rights as set forth below. To exercise any of these rights, contact us at info@offloadit.com or visit our Privacy Rights portal. We will respond within the timeframe required by applicable law (generally 45-60 days). We will not discriminate against you for exercising your privacy rights.

California (CCPA/CPRA) — Cal. Civ. Code § 1798.100 et seq.

Right to Know (categories and specific pieces of PD collected, used, disclosed, or sold); Right to Delete; Right to Correct inaccurate PD; Right to Opt Out of Sale or Sharing; Right to Limit Use of Sensitive PD; Right to Non-Discrimination; Right to Portability. Verification required. Authorized agents accepted. California residents who are minors may request removal of content posted by them.

Virginia (VCDPA) — Va. Code Ann. § 59.1-575 et seq.

Right to Access; Right to Delete; Right to Correct; Right to Portability; Right to Opt Out of Targeted Advertising, Sale of PD, and Profiling for decisions with significant legal effects. Right to appeal a denial of rights request. We will respond within 45 days (extendable by 45 days with notice).

Colorado (CPA) — Colo. Rev. Stat. § 6-1-1301 et seq.

Right to Access; Right to Delete; Right to Correct; Right to Portability; Right to Opt Out of Targeted Advertising, Sale, and Profiling. Right to appeal. We will respond within 45 days (extendable by 45 days with notice). Universal opt-out mechanisms honored as technically feasible.

Connecticut (CTDPA) — Conn. Gen. Stat. § 42-515 et seq.

Right to Access; Right to Delete; Right to Correct; Right to Portability; Right to Opt Out of Targeted Advertising, Sale, and Profiling. Right to appeal. We will respond within 45 days.

Texas (TDPSA) — Tex. Bus. & Com. Code § 541.001 et seq.

Right to Access; Right to Delete; Right to Correct; Right to Portability; Right to Opt Out of Sale, Targeted Advertising, and Profiling. We will respond within 45 days (extendable by 45 days with notice).

Oregon (OCPA) — Or. Rev. Stat. § 646A.570 et seq.

Right to Access a list of third parties with whom PD has been shared; Right to Delete; Right to Correct; Right to Portability; Right to Opt Out of Sale and Targeted Advertising. We will respond within 45 days.

Montana (CPDPA) — Mont. Code Ann. § 30-14-2801 et seq.

Right to Access; Right to Delete; Right to Correct; Right to Portability; Right to Opt Out of Sale, Targeted Advertising, and Profiling. We will respond within 45 days.

Nevada — Nev. Rev. Stat. § 603A

Right to Opt Out of Sale of covered information to data brokers. Contact us to submit a verified opt-out request. We will respond within 60 days.

Other States

Indiana, Iowa, Tennessee, Minnesota, Maryland, New Hampshire, New Jersey, and other states with enacted privacy laws: OFFLOADIT will comply with all currently enacted and effective state consumer privacy laws as they become applicable. Contact us at info@offloadit.com to exercise rights available under your state's law.

10.3 How to Submit a Privacy Rights Request

To exercise any privacy right, contact us at:

We may require verification of your identity before processing your request. We will not fulfill requests without sufficient verification to prevent unauthorized access. Authorized agents may submit requests on your behalf with appropriate written authorization. We will confirm receipt within 10 days and provide a substantive response within the legally required timeframe (generally 45 days, extendable where permitted).

10.4 Do Not Sell or Share My Personal Information

To specifically opt out of the sale or sharing of your Personal Data (including sharing for cross-context behavioral advertising purposes), you may: (a) submit a request to info@offloadit.com with subject line "DO NOT SELL OR SHARE MY PERSONAL INFORMATION"; (b) adjust your Platform privacy settings (where available); or (c) use applicable opt-out mechanisms under Section 5.2. OFFLOADIT does not sell Personal Data for monetary consideration.

10.5 Right to Appeal

If we deny your privacy rights request, we will provide a written explanation. Residents of states with appeal rights (Virginia, Colorado, Connecticut, Texas, Montana, Oregon, and others) may appeal our decision by contacting info@offloadit.com with subject line "PRIVACY RIGHTS APPEAL." We will respond to appeals within 60 days.

11. Third-Party Services and APIs

11.1 Google API Services

Our Platform uses Google APIs, including Google Analytics, Google Ads, and Google Maps. By using our Platform, you are subject to Google's Privacy Policy (https://policies.google.com/privacy) and Terms of Service. When collecting and processing Personal Data from Google APIs, we comply with the Google API Services User Data Policy, including its Limited Use requirements. We require all employees, contractors, agents, and successors to comply with the Google API Services User Data Policy. We do not use Google API data for developing, improving, or training generalized AI or ML models.

11.2 Social Media Platforms

If you log in using social media accounts (Facebook, Google, Apple, etc.), we receive profile information as authorized by you through those platforms' authentication flows. We may share your hashed contact information with these platforms for targeted advertising purposes as described in Section 6.3. Each platform's own privacy policy governs its use of your data.

11.3 Payment Processors

Payment processing is conducted by third-party processors (including Stripe, Inc.). OFFLOADIT does not store full credit card numbers or payment account details. Payment processors maintain PCI-DSS compliance. You should review your payment processor's privacy policy for information about how your payment data is handled.

11.4 Links to Third-Party Websites

The Platform may contain links to third-party websites and services not controlled by OFFLOADIT. This Privacy Policy does not apply to those third-party sites. We encourage you to review the privacy policies of any third-party sites you visit.

12. Location Data

With your permission, our mobile apps may collect precise geolocation data to enable location-based search features ("Items near you"). You may grant or revoke location permission through your device settings. We collect approximate location from IP addresses for all Users for security, fraud prevention, and analytics purposes. Precise geolocation is Sensitive Personal Data and is subject to heightened protections under applicable state law. We do not sell precise geolocation data.

13. International Users and Future Global Operations

13.1 Current Scope

OFFLOADIT Incorporated currently operates primarily in the United States and this Privacy Policy is designed to comply with U.S. federal and state privacy laws. The Platform is not specifically directed at residents of the European Economic Area (EEA), United Kingdom, or other international jurisdictions.

13.2 International Users

If you access the Platform from outside the United States, you acknowledge that your Personal Data will be transferred to and processed in the United States, where data protection laws may differ from those in your jurisdiction. By using the Platform, you consent to this transfer and processing.

13.3 Future International Entity — GDPR Placeholder

OFFLOADIT may in the future establish separate legal entities to operate international versions of the Platform, including in jurisdictions subject to the EU General Data Protection Regulation (GDPR) and UK GDPR. When and if such entities are established: (a) a separate privacy policy compliant with applicable international data protection law will be published; (b) appropriate legal bases for processing (including Standard Contractual Clauses or other transfer mechanisms) will be established; and (c) EU/UK User rights (including rights to access, rectification, erasure, restriction, portability, and objection) will be separately addressed. Until such entities are formally established, international Users are subject solely to this Policy.

14. Communications and Email Policy

We communicate with you using the email address, phone number, or in-app messaging provided during registration. You may receive: (a) transactional messages required to provide the Platform (receipts, alerts, legal notices — these cannot be opted out of while your account is active); and (b) marketing and promotional messages (opt-out available at any time).

We will not sell, rent, or trade your email address to unaffiliated third parties for their marketing purposes, except in connection with the sale or transfer of our business or as otherwise described in this Policy.

15. Biometric Data

OFFLOADIT does not currently collect biometric identifiers or biometric information (such as fingerprints, facial geometry, or voiceprints) for any purpose. If OFFLOADIT introduces biometric data collection in the future (e.g., for identity verification), we will update this Policy and obtain any required written consent before collecting such data, in compliance with applicable biometric privacy laws, including the Illinois Biometric Information Privacy Act (BIPA) and similar state laws.

16. Changes to This Privacy Policy

We reserve the right to update this Privacy Policy at any time. When we make material changes, we will: (a) post a notice on the Platform; (b) send an email notification to the address on your account; or (c) both, at least 30 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Policy. If we change how we use or disclose your Personal Data in a manner materially different from what was stated at the time of collection, we will provide advance notice and, where required by law, obtain your consent.
